Following completion of the transaction, Differentiated and Sustainable Solutions LLP will become a subsidiary of Astral Chemie Ltd and a step-down subsidiary of Astral Ltd. The acquisition is expected to be completed on or before August 31, 2026, subject to compliance with conditions precedent under the transaction documents. The consideration will be paid in cash.
Differentiated and Sustainable Solutions LLP is engaged in developing technologies for specialty chemicals and materials used in electronics, aerospace, renewable energies and infrastructure.

The Differentiated and Sustainable Solutions LLP has an annual capacity of 5,200 metric tonnes and operates from its manufacturing facility at E-7, Vilayat GIDC, District Bharuch, Gujarat. It was incorporated on December 28, 2015. The company reported turnover of ₹32.10 million in FY26 (unaudited), ₹64.08 million in FY25 and ₹14.38 million in FY24.
As per the disclosure, Differentiated and Sustainable Solutions LLP works in specialty polyamines used as building blocks, modifiers and additives along with epoxies, polyurethanes and polyureas, along with curing agents and additives for thermosets.
It also produces high-purity bismaleimides and benzoxazines for electronics, aerospace and defence applications, and systems used in adhesives, tooling, coatings, construction, composites and electrical applications.

The filing stated that Differentiated and Sustainable Solutions LLP has capabilities in design, development and scale-up of specialty chemicals and advanced materials, and holds and has applied for intellectual property rights for multiple chemical processes and products.
It added that India imports most requirements of polyamines, bismaleimides and benzoxazines, and DSS is the only entity in India with technology to produce a wide range of these products. The products are approved with major customers in India, with export opportunities across the US, EU, Japan and other markets.
Differentiated and Sustainable Solutions LLP also operates in collaboration with Indian and overseas clients for the development and scale-up of specialty chemicals.

The company stated that the acquisition supports Astral’s backward integration in key raw materials and expands capabilities across adhesives, coatings, construction chemicals and entry into electronics, aerospace, renewable energies and infrastructure.

Shares of Astral Ltd ended at ₹1,490.45, down by ₹9.05, or 0.60%, on the BSE
